What Sponsors Need to Know

My organization is currently in discussions about merging with another organization. Will our current National Registry ID number be valid under the new combined organization? What steps, if any, do I need to take with the National Registry of CPE Sponsors regarding the merger?

As businesses evolve, mergers and acquisitions often become pivotal milestones in their developmental path. For approved sponsors on the National Registry of CPE Sponsors (Registry), there are some factors to consider in the process. 

Membership is Not Transferable: Membership on the Registry is not transferable at the discretion of the sponsor. The Registry, at its sole discretion, determines if the membership ID can be used or reassigned to the new organization.  

Group of Business People in Discussion at TableNotify the Registry: As acknowledged in the Sponsor Agreement included in the initial membership application and at each annual membership renewal, one must inform the National Registry about the merger within thirty (30) days. Sponsors must submit the Change of Contact form to update all necessary information with the National Registry and provide details about the merger, the new company structure, and how the combined entity intends to continue providing CPE credits. This includes contact details, addresses, organization name and any other relevant information affected by the merger. 

Transfer Knowledge to Maintain Compliance: Because approval on the Registry is based on adherence with the Statement on Standards for Continuing Professional Education (CPE) Programs (Standards), it is critical that a transfer of knowledge occurs if roles and responsibilities change and there are new points of contact for the Registry membership at the new organization. If the former point of contact leaves prior to the merger and the new point of contact has not been informed of NASBA requirements and compliance with the Standards, then the current Registry account may be set to inactive, and the new organization may be asked to re-apply to the Registry. 

Update Information: If an organization name change occurs, CPE materials must be updated to list the new organization name and information (i.e., the National Registry Statement on course promotional materials, the Certificate of Completion, etc.).  

Communication with Participants: Notify your existing CPE participants about the merger. Assure them that their credits will remain valid and explain any changes in procedures or administration resulting from the merger. 

A strategic and organized approach centered on compliance and communication can help ensure the seamless continuation of membership on the Registry in a merger or acquisition, benefiting both the sponsor and their learners.
